Legal Counsel

Legal Counsel Location: Shanghai, China About the Role We are looking for a commercially minded Legal Counsel to provide comprehensive legal support across the North East Asia region. This role partners closely with business leaders and cross-functional teams to manage legal risks while enabling business growth. In addition to providing day-to-day legal support, the successful candidate will serve as the regional Export Control Officer, ensuring compliance with applicable export control laws and regulations. Key Responsibilities * Provide practical and business-oriented legal advice to multiple business divisions across NEA * Partner closely with commercial, operations and management teams throughout the full business lifecycle, supporting strategic initiatives, commercial transactions and operational matters. * Draft, review, negotiate and manage a broad range of commercial agreements, including sales and purchase agreements, distribution agreements, service agreements, NDAs, framework agreements, bidding and tender documents, as well as other legal and commercial documentation. * Provide legal support throughout tender and bidding processes, identifying contractual risks and proposing commercially balanced solutions. * Advise on a wide range of legal matters, including commercial law, corporate governance, compliance, regulatory issues and general business operations. * Handle disputes, claims and litigation matters, working with internal stakeholders to develop resolution strategies and manage legal risks effectively. * Manage relationships with external law firms and legal service providers, including selecting counsel, overseeing legal spend and ensuring high-quality legal support. * Collaborate with cross-functional teams including Finance, Human Resources, Operations, Quality, Supply Chain, Business Development and other supporting functions to deliver timely and pragmatic legal solutions. * Support the continuous improvement of legal processes, contract templates, compliance programs and internal policies to enhance operational efficiency and risk management. * Monitor changes in relevant laws and regulations across the NEA region and proactively advise the business on potential impacts. Requirements * Bachelor’s degree in Law; PRC Bar qualification preferred. * 8+ years of legal experience gained in a multinational company and/or reputable law firm. * Solid experience in commercial contract drafting, negotiation and legal risk management. * Strong communication and stakeholder management skills with the ability to work effectively across different cultures and jurisdictions. * Business-oriented mindset with the ability to balance legal risk and commercial objectives. * Fluent in English and Mandarin, both written and spoken.
